Corporation Claim for Deduction for Consent Dividends

Form 973 (Rev. 11-2016) is a document used by corporations to claim consent dividend deductions under section 565 of the Internal Revenue Code. Eligible corporations include those subject to accumulated earnings tax, personal holding companies, foreign personal holding companies, regulated investment companies, and real estate investment trusts. The form requires detailed information about the corporation, including its name, employer identification number, class and number of shares outstanding on the first and last day of the tax year, description of dividend rights, actual distributions per share, and any unequal treatment or changes in outstanding stock during the tax year. For stock entitled to cumulative dividends, the amount for earlier years unpaid should also be shown. The corporation must file Form 973 with its income tax return and attach a signed Form 972 (Consent of Shareholder To Include Specific Amount in Gross Income) for each shareholder who agreed to treat the consent dividend as a taxable dividend. Nonresident aliens and foreign shareholders require special attention regarding withholding taxes. The document includes instructions for filing and reporting taxes, as well as a Paperwork Reduction Act notice.
